Welcome to the Vidius video playback software (hereinafter referred to as “This Software”). This User Terms (hereinafter referred to as “These Terms”) is a legal agreement reached between you and the operators of this Software (hereinafter referred to as “Us”) regarding the use of this Software and related services. Please read and fully understand the full content of these Terms, especially the limitations and disclaimers, before downloading, installing, registering, or using this Software. Your download, installation, registration, login, and use are considered as you have accepted the constraints of these Terms and agree to comply with the provisions of these Terms.

This provision applies to all users worldwide who use this Software and related services (hereinafter referred to simply as “Users”), and we will provide services to users and regulate the rights and obligations of both parties in accordance with this provision and international general law guidelines. If you do not agree with any of this provision, please do not use this Software.

1. General Rules

1.1 Regulatory Effectiveness

1.1.1 Conditions of Effectiveness

This provision comes into effect from the date of your first use of this software and is legally binding on both you and us. We have the right to amend this provision according to legal and regulatory updates, service optimizations, etc. After amendments, we will notify you through this software pop-up window, in-site notice, etc., and the amended provision will take effect from the effective date indicated in the notification.

1.1.2 Additional agreements

Related documents such as the Software‘s privacy policy, functional descriptions, service information, etc., are supplementary agreements to this provision, and have equal legal validity to this provision. If the supplementary agreement is inconsistent with the content of this provision, the supplementary agreement is used as the basis.

1.2 Service scope

We provide users with core services such as video playback, search, collections, downloads, account synchronization, personalized recommendations, etc., while reserving the right to add, pause, or terminate certain services based on business adjustments, which will be notified to users in advance in a reasonable manner.

2. Account Registration and Usage Specifications

2.1 Account Registration

2.1.1 Registration Conditions

Users must be over the age of 13, have full civil conduct ability or register to use this Software account with parental consent. Authentic, accurate, and complete information (such as email address) should be provided at the time of registration, and they are responsible for the authenticity of the information.

2.1.2 Authorized Third-Party Login

Users can sign in to this Software through third-party platform authorization, such as Google, Apple ID, and upon sign-in, it is considered that they consent to us obtaining public information (nicknames, head images, unique identifiers) authorized by third-party platforms for account binding and authentication.

2.2 Account Usage Responsibility

2.2.1 Account Ownership

The user account belongs to us, users only enjoy the right to use the account, cannot transfer, rent, lend, or sell the account, otherwise must bear all legal responsibility resulting from this, we have the right to take measures such as freezing, logging out, etc. against violated accounts.

Security Guarantees

Users should properly store the password of their account and related authorization information, and are responsible for all operations under their account. If they discover that their account has been stolen or misused, they should immediately contact us, and we will assist in troubleshooting and handling, but will not bear any losses caused by improper storage by users themselves.

3. Content Usage Specifications

3.1 Content Sources and Rights

3.1.1 Legal Acquisition

The video content that users play using this software should come from legitimate channels. You must not play, distribute pirated, copyright infringing, illegally obtained video resources, and do not violate other people‘s legal rights such as copyright, trademark, and privacy rights.

3.1.2 Content Licensing Limits

This Software provides only video playback technology services and does not possess any ownership or rights to use any video content. The content of third parties that the user plays is subject to the limits of authorization defined by the content provider, and the user may not distribute, modify, edit, or commercialize that content beyond the limits of authorization.

3.2 Prohibited Content

Users are prohibited from using this Software to play and distribute the following content:

3.2.1 Violating Violating Content

Contents that violate international law and regulations, and regulations of local judicial authorities, including but not limited to content related to inciting violence, terrorism, racial discrimination, hate speech, pornography, gambling, and drugs.

3.2.2 Contents of Harmful Public Interest

Contents endangering national security, public security, social public interest, disturbing social order, spreading rumors, false propaganda, and violating other people‘s legitimate rights and interests.

4. Software Use Restrictions

4.1 Legal Use Requirements

4.1.1 Compliance Operations

Users should use the Software in accordance with the Software instructions and legal and regulatory requirements, do not engage in any illegal criminal activities using the Software, and do not provide technical support or assistance for any illegal violations.

4.1.2 Prohibition of Malicious Manipulation

This software may not be reverse-engineered, reverse-compiled, decrypted, tampered with, or embedded with malicious programs. It may not be used to interfere with the normal operation of the software using plug-ins, scripts, and other tools. It may not be used to exploit software server resources for malicious crawlers, brushes, and other operations.

4.2 Device and Network Requirements

Users should use terminal devices and network environments that meet the operating conditions of the software, and self-responsible for losses such as abnormal service usage and content loss caused by their own causes such as device failure and network instability.

5. Intellectual Property Attribution

5.1 Software Intellectual Property

5.1.1 Ownership

All intellectual property rights of this Software, including but not limited to source code, programs, interface designs, logos, text descriptions, graphic materials, etc., are ours and are protected by the International Intellectual Property Law.

5.1.2 Use Licensing

We grant users a non-exclusive, non-transferable, and revocable legal right to use, and users are not to copy, distribute, modify, or commercialize any intellectual property rights results of this Software without permission.

5.2 Intellectual Property Rights of User Content

Users own the intellectual property rights to the personal content they upload and share through this Software, but they grant us a global, non-exclusive, free use rights to optimize, display, and promote the Software services, and we will not use it for any other commercial purposes without our permission.

6. Disclaimer

6.1 Service Disclaimer

6.1.1 Disclaimer for Technical Failures

If this Software cannot be used properly due to server maintenance, network disruption, technology upgrades, irresistible forces, etc., we will do our best to promptly fix and notify users, and will not assume responsibility for any direct or indirect damage caused by this.

6.1.2 Disclaimer for Third Party Content

This Software assumes no responsibility for auditing and guaranteeing the authenticity, legality, and completeness of video content provided by third parties. Disputes arising from users viewing third-party content are resolved at the discretion of users and content providers.

6.2 Limitation of liability

To the extent permitted by law, we will not be liable for any indirect, incidental, or punitive losses arising from the use of this Software, and our cumulative liability for compensation will not exceed the actual fees the user has paid in this Software (if any).

7. Suspension and termination of services

7.1 Active termination

Users can request to sign out their account at any time to terminate their use of this software service. After signing out of the account, we will delete the user‘s personal information in accordance with the privacy policy provisions, and the related services and data will not be recoverable.

7.2 Passive termination

7.2.1 Termination of Violation

If a user violates the provisions of this Ordinance, we have the right, depending on the severity of the violation, to take measures such as warnings, restriction of features, freezing of accounts, termination of services, and no refund of any paid fees (if any).

7.2.2 Termination of Business Adjustment

Due to business adjustments, legal and regulatory requirements, etc., we may terminate some or all of our services, notify users in a reasonable manner 30 days in advance, and assist users in handling after-effect matters such as data export.

8. Dispute Resolution

8.1 Negotiation Priority

Any disputes arising from or related to this provision should first be resolved by friendly negotiation between the parties.

8.2 Dispute jurisdiction

8.2.1 Jurisdiction Agreement

If negotiations fail, either party has the right to bring a lawsuit to the court with jurisdiction where we are located, or to apply for arbitration according to relevant international arbitration rules.

8.2.2 Applicability of Law

The establishment, enforcement, interpretation, implementation, and dispute resolution of this Ordinance are governed by the principles of international general law and the laws of our locality.

9. Other Terms

9.1 Notification and Delivery

We send notifications to users through this software pop-up window, in-site announcements, user registration mailbox, etc., and notifications are considered effective delivery from the date of issuance. Users who change their contact details should promptly update their account information, otherwise the resulting delivery cannot be at the user‘s own risk.

9.2 Terms and Conditions Independence

Any provision of this Ordinance deemed invalid or unenforceable does not affect the effectiveness of the other provisions, and the other provisions should continue to be enforced.
